Public companies share information with investors through required filings and other disclosures. Some information is reported on a regular schedule, while certain events may require a filing within a shorter period.

The rules governing these disclosures can change over time. When they do, companies may need to adjust what they report, how they gather information, and how they review filings before submission. Understanding these changes helps companies keep their disclosure practices aligned with current requirements.

What Corporate Disclosure Obligations Require

Public companies must provide investors with information that may be important to their investment decisions. These requirements can cover financial results, business risks, significant corporate events, executive compensation, and other matters established by federal securities laws and SEC rules.

Financial and Business Information

Annual and quarterly reports contain financial information about a company’s performance and financial position. Companies may also need to provide information about material risks, legal proceedings, major transactions, and other matters that could be significant to investors.

Certain corporate events can trigger additional disclosure requirements. These may include mergers, changes in senior leadership, major asset sales, or other events covered by SEC filing rules.

The Role of Materiality

Materiality is an important consideration when companies determine what information investors need to know. Information may be material when a reasonable investor would consider it important when making an investment decision.

This means disclosure decisions often depend on the nature of the information and the circumstances surrounding it. Companies therefore need processes that allow them to identify potentially significant developments and assess them appropriately.

How Regulatory Changes Affect Disclosure Requirements

The SEC periodically changes its rules and disclosure requirements. A new rule may require additional information, modify an existing requirement, change a filing deadline, or introduce new reporting standards.

These changes can affect the content and format of future filings. A company may need to add information that was not previously required, revise existing disclosures, or change how certain information is presented.

Changes to Reporting Requirements

Regulatory changes can affect definitions, reporting thresholds, filing deadlines, and specific disclosure items. In some cases, companies may also need to provide information using a particular format or data-tagging requirement.

The practical effect depends on the rule involved. Some changes may affect only a specific part of a filing, while others can require broader adjustments to reporting practices.

Changes to Information Gathering

New requirements may also change the information a company needs to collect. For example, a new disclosure requirement could call for information that previously was not gathered for financial or regulatory reporting.

This can require companies to determine which internal records contain the necessary information and whether that information can be verified consistently. The change therefore affects not only the final disclosure but also the preparation work behind it.

When disclosure requirements change, companies may need to update the internal procedures used to prepare filings. Legal, finance, accounting, compliance, and other teams may have different responsibilities depending on the nature of the new requirement.

The goal is not necessarily to replace the entire system. In many cases, a targeted change can address the new requirement while allowing the rest of the established process to remain in place.

The Role of SEC Priorities and Enforcement

Formal rule changes are only one part of the regulatory environment. SEC priorities and enforcement activity can also draw attention to particular areas of corporate disclosure.

For example, increased regulatory attention to a specific type of disclosure may encourage companies to examine whether their existing filings and controls adequately address that area.

Learning From Enforcement Activity

Reviewing SEC enforcement actions can give companies additional context about how disclosure issues have been addressed in actual cases. Enforcement matters may involve misleading statements, omitted information, inaccurate filings, or weaknesses in disclosure controls.

These cases do not replace the applicable laws and regulations. However, they can help legal and compliance teams understand the types of disclosure problems that have resulted in regulatory action.

Considering Regulatory Developments

Companies can incorporate relevant enforcement developments into their regular disclosure reviews. If a recent case concerns a particular type of disclosure, the company can examine whether similar issues could arise in its own reporting process.

This provides another way to identify potential weaknesses without treating enforcement activity as a substitute for reviewing the underlying requirements.

Companies can assign responsibility for monitoring relevant SEC developments and determining when new requirements become effective. Early identification gives the organization more time to understand the change and prepare for implementation.

Compare New Requirements With Existing Procedures

The company can then compare the new requirement with its current disclosure process. This can reveal gaps in the information being collected, assigned responsibilities, review procedures, or internal controls.

This comparison also helps determine the appropriate response. A minor change may require only an update to an existing checklist, while a broader requirement may call for changes to data collection and review procedures.

Test the Updated Process

Before using a revised process in a live filing, companies can conduct a practice review. Testing can identify missing information, unclear responsibilities, or delays that were not apparent when the process was designed.

Making these adjustments before the filing deadline gives the relevant teams an opportunity to resolve problems and establish a clearer workflow.
