Ltd., the corporate debtor, defaulted on repayment of its credit facilities, following which the State Bank of India (SBI) initiated the Corporate Insolvency Resolution Process (CIRP) under the Insolvency and Bankruptcy Code, 2016 (IBC).<\/p>\n<p data-start=\"533\" data-end=\"738\">During the pendency of the CIRP, SBI sought to invoke the personal guarantee furnished by V. Ramakrishnan, who was both the Managing Director of the corporate debtor and its personal guarantor.<\/p>\n<p data-start=\"740\" data-end=\"921\">Ramakrishnan contended that once the CIRP had commenced, Section 14 of the IBC (moratorium) barred SBI from initiating or continuing any legal proceedings against him as well.<\/p>\n<ul data-start=\"923\" data-end=\"1174\">\n<li data-start=\"923\" data-end=\"1069\">\n<p data-start=\"925\" data-end=\"1069\">The NCLT rejected this contention, holding that a guarantor\u2019s liability is separate and independent from that of the corporate debtor.<\/p>\n<\/li>\n<li data-start=\"1070\" data-end=\"1174\">\n<p data-start=\"1072\" data-end=\"1174\">The NCLAT reversed this view and held that the moratorium extended to personal guarantors as well.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"1176\" data-end=\"1381\">Aggrieved by the NCLAT\u2019s decision, SBI appealed to the Supreme Court, arguing that extending the moratorium to guarantors would defeat the purpose of guarantee contracts and weaken creditor protection.<\/p>\n<h3 data-start=\"1388\" data-end=\"1408\"><strong data-start=\"1391\" data-end=\"1408\">ISSUES RAISED<\/strong><\/h3>\n<ol data-start=\"1410\" data-end=\"1904\">\n<li data-start=\"1410\" data-end=\"1550\">\n<p data-start=\"1413\" data-end=\"1550\">Whether the moratorium under Section 14 of the IBC prohibits legal proceedings against personal guarantors of a corporate debtor.<\/p>\n<\/li>\n<li data-start=\"1551\" data-end=\"1686\">\n<p data-start=\"1554\" data-end=\"1686\">Whether the wording and structure of Section 14 permit extension of the moratorium to individuals who are not corporate debtors.<\/p>\n<\/li>\n<li data-start=\"1687\" data-end=\"1791\">\n<p data-start=\"1690\" data-end=\"1791\">Whether proceeding against personal guarantors during CIRP aligns with the objectives of the IBC.<\/p>\n<\/li>\n<li data-start=\"1792\" data-end=\"1904\">\n<p data-start=\"1795\" data-end=\"1904\">Whether the NCLAT was justified in treating the corporate debtor and guarantor as a single economic unit.<\/p>\n<\/li>\n<\/ol>\n<h3 data-start=\"1911\" data-end=\"1950\"><strong data-start=\"1914\" data-end=\"1950\">ARGUMENTS BY THE APPELLANT (SBI)<\/strong><\/h3>\n<ol data-start=\"1952\" data-end=\"2708\">\n<li data-start=\"1952\" data-end=\"2117\">\n<p data-start=\"1955\" data-end=\"2117\"><strong data-start=\"1955\" data-end=\"1986\">Limited Scope of Section 14<\/strong><br data-start=\"1986\" data-end=\"1989\" \/>Section 14(1)(a) expressly refers to proceedings \u201cagainst the corporate debtor\u201d and does not mention personal guarantors.<\/p>\n<\/li>\n<li data-start=\"2119\" data-end=\"2354\">\n<p data-start=\"2122\" data-end=\"2354\"><strong data-start=\"2122\" data-end=\"2149\">Contract Act Principles<\/strong><br data-start=\"2149\" data-end=\"2152\" \/>Under Sections 128\u2013140 of the Indian Contract Act, 1872, a guarantor\u2019s liability is co-extensive with that of the principal debtor. Shielding guarantors would contradict settled contract law.<\/p>\n<\/li>\n<li data-start=\"2356\" data-end=\"2532\">\n<p data-start=\"2359\" data-end=\"2532\"><strong data-start=\"2359\" data-end=\"2393\">Commercial Logic of Guarantees<\/strong><br data-start=\"2393\" data-end=\"2396\" \/>Guarantees exist to reduce credit risk. Extending moratorium protection to guarantors would make guarantees commercially meaningless.<\/p>\n<\/li>\n<li data-start=\"2534\" data-end=\"2708\">\n<p data-start=\"2537\" data-end=\"2708\"><strong data-start=\"2537\" data-end=\"2555\">IBC Objectives<\/strong><br data-start=\"2555\" data-end=\"2558\" \/>Preventing action against guarantors would delay recovery and undermine the IBC\u2019s goal of speedy resolution and maximisation of creditor value.<\/p>\n<\/li>\n<\/ol>\n<h3 data-start=\"2715\" data-end=\"2772\"><strong data-start=\"2718\" data-end=\"2772\">ARGUMENTS BY THE RESPONDENTS (Ramakrishnan &amp; Anr.)<\/strong><\/h3>\n<ol data-start=\"2774\" data-end=\"3428\">\n<li data-start=\"2774\" data-end=\"2953\">\n<p data-start=\"2777\" data-end=\"2953\"><strong data-start=\"2777\" data-end=\"2813\">Extended Corporate Family Theory<\/strong><br data-start=\"2813\" data-end=\"2816\" \/>Personal guarantors are part of the \u201cextended corporate family,\u201d and action against them could indirectly impact the corporate debtor.<\/p>\n<\/li>\n<li data-start=\"2955\" data-end=\"3107\">\n<p data-start=\"2958\" data-end=\"3107\"><strong data-start=\"2958\" data-end=\"2986\">Right of Indemnification<\/strong><br data-start=\"2986\" data-end=\"2989\" \/>If guarantors are proceeded against, they may seek indemnity from the corporate debtor, thereby affecting the CIRP.<\/p>\n<\/li>\n<li data-start=\"3109\" data-end=\"3234\">\n<p data-start=\"3112\" data-end=\"3234\"><strong data-start=\"3112\" data-end=\"3154\">Purposive Interpretation of Section 14<\/strong><br data-start=\"3154\" data-end=\"3157\" \/>The NCLAT\u2019s interpretation aligned with the broader objectives of the IBC.<\/p>\n<\/li>\n<li data-start=\"3236\" data-end=\"3428\">\n<p data-start=\"3239\" data-end=\"3428\"><strong data-start=\"3239\" data-end=\"3284\">Prospective Application of 2018 Amendment<\/strong><br data-start=\"3284\" data-end=\"3287\" \/>Section 14(3), which clarified that guarantors are excluded from the moratorium, should apply only prospectively and not to pending cases.<\/p>\n<\/li>\n<\/ol>\n<h3 data-start=\"3435\" data-end=\"3450\"><strong data-start=\"3438\" data-end=\"3450\">JUDGMENT<\/strong><\/h3>\n<p data-start=\"3452\" data-end=\"3560\">The Supreme Court allowed SBI\u2019s appeal and set aside the NCLAT judgment, holding unequivocally that:<\/p>\n<blockquote data-start=\"3562\" data-end=\"3649\">\n<p data-start=\"3564\" data-end=\"3649\">The moratorium under Section 14 of the IBC does not apply to personal guarantors.<\/p>\n<\/blockquote>\n<h3 data-start=\"3651\" data-end=\"3668\">Key Findings:<\/h3>\n<ul data-start=\"3669\" data-end=\"4061\">\n<li data-start=\"3669\" data-end=\"3738\">\n<p data-start=\"3671\" data-end=\"3738\">Section 14 applies only to the corporate debtor and its assets.<\/p>\n<\/li>\n<li data-start=\"3739\" data-end=\"3837\">\n<p data-start=\"3741\" data-end=\"3837\">The language and structure of the provision do not indicate any intention to include guarantors.<\/p>\n<\/li>\n<li data-start=\"3838\" data-end=\"3926\">\n<p data-start=\"3840\" data-end=\"3926\">The 2018 amendment was clarificatory, reaffirming the original legislative intent.<\/p>\n<\/li>\n<li data-start=\"3927\" data-end=\"4061\">\n<p data-start=\"3929\" data-end=\"4061\">Proceedings against guarantors do not obstruct CIRP; instead, they enhance creditor recovery and align with contract law principles.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"4068\" data-end=\"4090\"><strong data-start=\"4071\" data-end=\"4090\">RATIO DECIDENDI<\/strong><\/h3>\n<ol data-start=\"4092\" data-end=\"4792\">\n<li data-start=\"4092\" data-end=\"4274\">\n<p data-start=\"4095\" data-end=\"4274\"><strong data-start=\"4095\" data-end=\"4156\">Section 14(1) applies exclusively to the corporate debtor<\/strong><br data-start=\"4156\" data-end=\"4159\" \/>The moratorium protects only the corporate debtor and its assets, not third parties such as personal guarantors.<\/p>\n<\/li>\n<li data-start=\"4276\" data-end=\"4476\">\n<p data-start=\"4279\" data-end=\"4476\"><strong data-start=\"4279\" data-end=\"4319\">Co-extensive Liability of Guarantors<\/strong><br data-start=\"4319\" data-end=\"4322\" \/>As per <strong data-start=\"4332\" data-end=\"4367\">Section 128 of the Contract Act<\/strong>, creditors may proceed directly against guarantors without exhausting remedies against the principal debtor.<\/p>\n<\/li>\n<li data-start=\"4478\" data-end=\"4643\">\n<p data-start=\"4481\" data-end=\"4643\"><strong data-start=\"4481\" data-end=\"4523\">Legislative Intent Excluded Guarantors<\/strong><br data-start=\"4523\" data-end=\"4526\" \/>Both before and after the 2018 amendment, Parliament never intended to extend moratorium protection to guarantors.<\/p>\n<\/li>\n<li data-start=\"4645\" data-end=\"4792\">\n<p data-start=\"4648\" data-end=\"4792\"><strong data-start=\"4648\" data-end=\"4683\">Maximisation of Value under IBC<\/strong><br data-start=\"4683\" data-end=\"4686\" \/>Allowing action against guarantors strengthens creditor rights and supports the core objective of CIRP.<\/p>\n<\/li>\n<\/ol>\n<h3 data-start=\"4799\" data-end=\"4818\"><strong data-start=\"4802\" data-end=\"4818\">OBITER DICTA<\/strong><\/h3>\n<ol data-start=\"4820\" data-end=\"5319\">\n<li data-start=\"4820\" data-end=\"4984\">\n<p data-start=\"4823\" data-end=\"4984\"><strong data-start=\"4823\" data-end=\"4888\">Corporate Debtor and Guarantor Are Not a Single Economic Unit<\/strong><br data-start=\"4888\" data-end=\"4891\" \/>Treating them as one would distort fundamental principles of company law and contract law.<\/p>\n<\/li>\n<li data-start=\"4986\" data-end=\"5153\">\n<p data-start=\"4989\" data-end=\"5153\"><strong data-start=\"4989\" data-end=\"5027\">Moratorium Is Not All-Encompassing<\/strong><br data-start=\"5027\" data-end=\"5030\" \/>Section 14 balances interests by protecting the corporate debtor without freezing creditor rights against third parties.<\/p>\n<\/li>\n<li data-start=\"5155\" data-end=\"5319\">\n<p data-start=\"5158\" data-end=\"5319\"><strong data-start=\"5158\" data-end=\"5208\">Separate Insolvency Proceedings for Guarantors<\/strong><br data-start=\"5208\" data-end=\"5211\" \/>Personal guarantors may independently face insolvency proceedings under applicable provisions of the IBC.<\/p>\n<\/li>\n<\/ol>\n<h3 data-start=\"5326\" data-end=\"5360\"><strong data-start=\"5329\" data-end=\"5360\">IMPORTANT DIRECTIONS ISSUED<\/strong><\/h3>\n<ul data-start=\"5362\" data-end=\"5577\">\n<li data-start=\"5362\" data-end=\"5463\">\n<p data-start=\"5364\" data-end=\"5463\">Creditors are free to initiate or continue proceedings against personal guarantors during CIRP.<\/p>\n<\/li>\n<li data-start=\"5464\" data-end=\"5577\">\n<p data-start=\"5466\" data-end=\"5577\">The NCLAT judgment was set aside, and the NCLT\u2019s order permitting action against Ramakrishnan was restored.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"5584\" data-end=\"5603\"><strong data-start=\"5587\" data-end=\"5603\">OBSERVATIONS<\/strong><\/h3>\n<p data-start=\"5605\" data-end=\"5810\">This judgment is a landmark ruling in Indian insolvency law. V. Ramakrishnan conclusively establishes that the IBC moratorium does not extend to personal guarantors. The ruling safeguards contractual guarantees, improves recovery prospects for creditors, and ensures that the objectives of CIRP remain intact.
