Agro (P.) Ltd. for allegedly violating Section 188 of the Companies Act, 2013, and Regulation 23 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.<br data-start=\"563\" data-end=\"566\" \/>The case involved a <strong data-start=\"586\" data-end=\"624\">material related party transaction<\/strong> with Neelkanth Realtors Pvt. Ltd. regarding the acquisition of 40,000 sq. ft. of residential space.<br data-start=\"724\" data-end=\"727\" \/>Under Clause 49 of the Listing Agreement, such a transaction required <strong data-start=\"797\" data-end=\"827\">prior shareholder approval<\/strong>, especially since it was with a related party. SEBI alleged that R.T. Agro failed to:<\/p>\n<ul data-start=\"914\" data-end=\"1064\">\n<li data-start=\"914\" data-end=\"948\">\n<p data-start=\"916\" data-end=\"948\">Obtain necessary board approval,<\/p>\n<\/li>\n<li data-start=\"949\" data-end=\"1002\">\n<p data-start=\"951\" data-end=\"1002\">Disclose crucial information to shareholders, and<\/p>\n<\/li>\n<li data-start=\"1003\" data-end=\"1064\">\n<p data-start=\"1005\" data-end=\"1064\">Ensure transparency in compliance with listing regulations.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"1071\" data-end=\"1090\"><strong data-start=\"1075\" data-end=\"1089\">\u00a0Issues<\/strong>:<\/h3>\n<ol data-start=\"1091\" data-end=\"1376\">\n<li data-start=\"1091\" data-end=\"1219\">\n<p data-start=\"1094\" data-end=\"1219\">Whether R.T. Agro (P.) Ltd. violated Regulation 23 of SEBI (LODR) Regulations, 2015, concerning related party transactions.<\/p>\n<\/li>\n<li data-start=\"1220\" data-end=\"1376\">\n<p data-start=\"1223\" data-end=\"1376\">Whether the company failed to obtain prior board and shareholder approval, and permitted related parties to vote in violation of disclosure requirements.<\/p>\n<\/li>\n<\/ol>\n<h3 data-start=\"1383\" data-end=\"1399\"><strong data-start=\"1387\" data-end=\"1398\">\u00a0Law<\/strong>:<\/h3>\n<ul data-start=\"1400\" data-end=\"1884\">\n<li data-start=\"1400\" data-end=\"1556\">\n<p data-start=\"1402\" data-end=\"1556\"><strong data-start=\"1402\" data-end=\"1438\">Section 188, Companies Act, 2013<\/strong> \u2013 Governs related party transactions and mandates board\/shareholder approvals and abstention of interested parties.<\/p>\n<\/li>\n<li data-start=\"1557\" data-end=\"1748\">\n<p data-start=\"1559\" data-end=\"1748\"><strong data-start=\"1559\" data-end=\"1607\">Regulation 23, SEBI (LODR) Regulations, 2015<\/strong> \u2013 Requires disclosure and shareholder approval for material related party transactions; mandates that related parties abstain from voting.<\/p>\n<\/li>\n<li data-start=\"1749\" data-end=\"1884\">\n<p data-start=\"1751\" data-end=\"1884\"><strong data-start=\"1751\" data-end=\"1789\">Clause 49 of the Listing Agreement<\/strong> \u2013 Deals with corporate governance norms, including transparency in related party transactions.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"1891\" data-end=\"1914\"><strong data-start=\"1895\" data-end=\"1911\">\u00a0Analysis<\/strong>:<\/h3>\n<p data-start=\"1915\" data-end=\"2310\">SEBI imposed a penalty of \u20b935 lakh on R.T. Agro, arguing that related parties did not abstain from voting during the rescission of the resolution related to the transaction. However, the Securities Appellate Tribunal (SAT) noted that the voting restriction for related parties applied <strong data-start=\"2200\" data-end=\"2233\">only at the stage of approval<\/strong> and not when a resolution is later <strong data-start=\"2269\" data-end=\"2282\">rescinded<\/strong>.<br data-start=\"2283\" data-end=\"2286\" \/>It was established that:<\/p>\n<ul data-start=\"2311\" data-end=\"2616\">\n<li data-start=\"2311\" data-end=\"2417\">\n<p data-start=\"2313\" data-end=\"2417\">At the time of approval, related parties had indeed abstained from voting, complying with Regulation 23.<\/p>\n<\/li>\n<li data-start=\"2418\" data-end=\"2492\">\n<p data-start=\"2420\" data-end=\"2492\">The company&#8217;s procedural compliance was deemed sufficient under the law.<\/p>\n<\/li>\n<li data-start=\"2493\" data-end=\"2616\">\n<p data-start=\"2495\" data-end=\"2616\">SEBI\u2019s interpretation was excessively technical and inconsistent with the practical and legal context of the transaction.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"2623\" data-end=\"2648\"><strong data-start=\"2627\" data-end=\"2645\">\u00a0Conclusion<\/strong>:<\/h3>\n<p data-start=\"2649\" data-end=\"2973\">The <strong data-start=\"2653\" data-end=\"2692\">Supreme Court upheld SAT&#8217;s decision<\/strong>, confirming that R.T. Agro Ltd. had not violated regulatory norms. It ruled that SEBI&#8217;s interpretation of the law was overly rigid, and the imposed penalty was unwarranted. Accordingly, the \u20b935 lakh penalty was quashed, and the appeal was dismissed in favor of R.T. Agro (P.)
